Welcome to NetZylo Inc.

NetZylo Inc. (“NetZylo,” “we,” “us,” or “our”) offers blockchain domain services that include the sale of Top-Level Domains (TLDs) and Sub-Level Domains (SLDs) as Non-Fungible Tokens (NFTs) through our platform. Our headquarters are located at 433 Plaza Real St2 275, Boca Raton, FL 33432, USA.

These Terms of Service (“Terms”) govern your access to and use of our services. By using our services, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use our services.

Blockchain Domain Disclosure
When acquiring Top-Level Blockchain Domains (TLDs), there is a potential for overlap with names on other blockchains, various naming technologies, and DNS domains. Blockchain domains represent a new and emerging industry. The market for blockchain domains is still developing, and as such, may exhibit illiquidity that could affect the ease of resale.

Top-Level Domains (TLDs) and Sub-Level Domains (SLDs)
At NetZylo Inc., we offer the sale of Top-Level Domains (TLDs) and Sub-Level Domains (SLDs) as Non-Fungible Tokens (NFTs) through our platform. These domains are 100% user-owned, with no renewals or ongoing fees. Once purchased, they are the responsibility of the owner, who must always abide by our terms of service.

Revenue Sharing
Owners of TLDs can authorize NetZylo to allow users to purchase SLDs under their TLD on the NetZylo website. The revenue from these SLD sales will be shared equally between the TLD owner and NetZylo, with a 50/50 split. TLD owners will have access to a payment section where they can connect their bank account or crypto wallet for payments. Users have the option to receive payments in USD or in cryptocurrency (MATIC) if they choose that option.

Shareable Weblink
TLD owners can sell SLDs to anyone via a shareable weblink, which will be created once they agree to the revenue-sharing terms and pay a one-time $50.00 USD  fee.  TLD owners will also have the ability to adjust the prices of the SLDs as they see fit.

Responsibility and Management
The owners of both TLDs and SLDs are responsible for managing their domains once they are bought and transferred. This includes ensuring the proper use and compliance with our terms of service. Failure to comply with our terms can result in penalties or termination of services.

100% User-Owned TLD and SLD Domains on Polygon Blockchain: Secure and manage Top-Level Domains (TLDs) and Second-Level Domains (SLDs) that are entirely owned by you, with all transactions occurring on the reliable Polygon blockchain.

Reverse Resolution: Utilize reverse resolution to associate your crypto wallet addresses with human-readable domain names, simplifying transactions and communications.

Pay with Credit Card or Approved Cryptocurrency: Enjoy flexible payment options, including traditional credit card payments or selected cryptocurrencies, accommodating your preferred methods of transaction.

General Rules of Conduct

You acknowledge and agree that: Your use of this Site and the Services, including any content you submit, will comply with this Agreement, any applicable services agreement or policy that may apply, and all applicable local, state, national, and international laws, rules, and regulations.

You are and shall remain solely responsible for the content of any materials, including creative suggestions, ideas, notes, drawings, photographs, concepts, or other information or communications you transmit or provide to NetZylo Inc. or through the Services via electronic mail or otherwise (collectively, the “User Content”).
You agree that all User Content you submit to NetZylo Inc. is owned by you, and you hereby grant to NetZylo Inc. the royalty-free, perpetual, irrevocable, worldwide, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display User Content and to incorporate any User Content in other works in any form, media, or technology now known or later developed. This includes the right to publish User Content or use User Content on the NetZylo Inc. Site or in advertising of any type, with no obligation to pay you any consideration. NetZylo Inc. will not be required to treat any User Content as confidential and may use User Content in its business (including, without limitation, for products or advertising) without incurring any liability for royalties or any other consideration of any kind, or as a result of any similarities that may appear in NetZylo Inc.’s future operations. User Content does not include any personally identifiable information, which is subject to the privacy standards set forth in our Privacy Policy, expressly incorporated into these Terms of Service. NetZylo Inc. reserves the right to remove any content submitted to the Site or through the Services at any time for any reason. You will not collect or harvest (or permit anyone else to collect or harvest) any User Content or any non-public or personally identifiable information about another user or any other person or entity without their express prior written consent. You will not use this Site or the Services in a manner (as determined by NetZylo Inc. in its sole and absolute discretion) that: Infringes on the intellectual property rights of another user or any other person or entity; Violates the privacy or publicity rights of another user or any other person or entity, or breaches any duty of confidentiality that you owe to another user or any other person or entity; Interferes with the operation of this Site or the Services; Contains or installs any viruses, worms, bugs, Trojan horses, or other code, files, or programs designed to, or capable of, disrupting, damaging, or limiting the functionality of any software or hardware; or
Contains false or deceptive language, or unsubstantiated or comparative claims, regarding NetZylo Inc. or NetZylo Inc.’s Services. You will not copy or distribute in any medium any part of this Site or the Services, except where expressly authorized by NetZylo Inc. You will not modify or alter any part of this Site or the Services found at this Site or any of its related technologies. You will not circumvent, disable, or otherwise interfere with the security-related features of this Site (including without limitation those features that prevent or restrict use or copying of any NetZylo Inc. Content or User Content) or enforce limitations on the use of this Site, the NetZylo Inc. Content, or the User Content therein. You agree to provide government-issued photo identification and/or government-issued business identification as required for verification of identity when requested.
Without limiting any of the rights set forth elsewhere in this Agreement, NetZylo Inc. expressly reserves the right to deny, cancel, terminate, suspend, or limit future access to this Site or the Service (including but not limited to the right to cancel or transfer any domain name registration) to any user (i) whose Services were previously terminated or suspended, whether due to breach of this or any other Agreement or any NetZylo Inc. policy, or (ii) who otherwise engages or has engaged in inappropriate or unlawful activity while utilizing the Site or the Services (as determined by NetZylo Inc. in its sole and absolute discretion).

Acceptance of Terms
By accessing and using our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you disagree with any part of the terms, you must discontinue use of our services immediately.

Accounts and Registration
To access some features of the platform, you must register for an account. When you register for an account, you must provide us with accurate and complete information. Each account must be linked to an email-verified and generated crypto wallet on our platform.

Ownership and Transfers
Upon purchase, domain ownership is transferred to you via NFT, which represents your absolute and irrevocable right to the domain, subject to ongoing compliance with these Terms.

No Returns or Refunds
All sales of domains are final. We do not offer returns, exchanges, or refunds except in the case of system errors attributable to us, as detailed below.

Remedies for System Errors
In the unlikely event of a system error that affects your purchase, we will endeavor to rectify the issue promptly. If we are unable to resolve the error, we will issue a full refund within 7 business days.

User Responsibilities
As a user, you are responsible for understanding the extent and limitations of the third-party services incorporated into our platform. You agree to bear the risks associated with these services, and you will not hold NetZylo Inc. responsible for any failures or breaches that may occur with these third-party services.

Prohibited Activities
You may not use our services for any unlawful, misleading, malicious, or discriminatory activities, nor attempt to hack, destabilize, or otherwise interfere with the operational integrity of the service.

Links to Third-Party Websites or Content
This Site may contain links to third-party websites that are not owned or controlled by NetZylo Inc. NetZylo Inc. assumes no responsibility for the content, terms and conditions, privacy policies, or practices of any third-party websites. In addition, NetZylo Inc. does not censor or edit the content of any third-party websites. By using this Site, you expressly release NetZylo Inc. from any and all liability arising from your use of any third-party website. Accordingly, NetZylo Inc. encourages you to be aware when you leave this Site and to review the terms and conditions, privacy policies, and other governing documents of each website that you may visit. NetZylo Inc. has used reasonable efforts to verify that the URLs referring to external sites are correct as of the last revision of this Site.

Email-Linked Non-Custodial Wallet Creation
Our service incorporates state-of-the-art technology for the creation of non-custodial crypto wallets, using the Thirdweb platform. This feature is activated the first time a user logs into our application through an email or social login, establishing a unique crypto wallet directly on the user’s device. This innovation allows users to access decentralized web functionalities effortlessly, without prior knowledge of blockchain technology.

Wallet Creation and Key Management
Upon your initial login, a crypto wallet is automatically generated on your device. This process ensures that you can engage with the decentralized web immediately. The wallet’s key is protected through a cutting-edge security protocol utilizing Shamir’s Secret Sharing algorithm, which divides the key into three separate shards:

Shard A is stored locally on your device—within the browser’s local storage for web applications, and within the secure enclave for mobile applications. This shard is always accessible to you, balancing convenience with security.
Shard B is encrypted and stored securely within Amazon’s Key Management Service (KMS), taking advantage of advanced hardware security modules (HSMs) to ensure the integrity and confidentiality of your data. This shard is maintained within Thirdweb’s secure database environment.
Shard C is encrypted using your authentication data, adding an additional layer of security. Like Shard B, it is safeguarded by Amazon’s KMS. This unique encryption ensures that even Thirdweb cannot decrypt or access the shard, maintaining your privacy and security at all times.
Security Assurance
This tripartite approach to sharding the wallet’s key not only enhances security by distributing the points of access but also ensures that you maintain ultimate control over your wallet. In the event of device loss or a breach at a single storage point, the security of your wallet remains robust due to the distributed nature of the key storage.

By integrating your login method with this sophisticated wallet creation process, we provide a seamless and secure experience, bridging the ease of traditional authentication methods with the stringent security demands of modern crypto wallet management.

Wallet Recovery Process
Our service offers non-custodial wallets, which empower users with full control over their private keys. This structure enables users to export their private keys at any time, facilitating easy recovery and use across different devices.

Process for Recovering Your Wallet
To recover your wallet, you simply need to authenticate or sign into the application. This action initiates the private key reconstruction process, which relies on threshold secret-sharing cryptography. For the private key to be successfully recreated, you must have access to at least two out of the three key shards.

Important Considerations
Please be aware that if you lose access to your primary authentication method (email, social login, or any custom authentication system you’ve set up), it will not be possible to recover your wallet. This underscores the critical importance of maintaining access to your authentication methods to ensure you can continue accessing your wallet.

Acknowledgment of Third-Party Risks
By using our services, you acknowledge and agree that NetZylo Inc. relies on third-party technologies and services that are beyond our control. While we carefully select these third parties, the nature of digital and decentralized services entails inherent risks. These risks may include, but are not limited to, technical failures, operational disruptions, and service discontinuities which could affect your access to or use of our services.

Restrictions
NetZylo Inc. reserves the right to, at any time and based on the nature of the infraction, act without prior notification against any Unauthorized Content provided by users on (or through) this Site or any Service.

Review Measures and Tools
All notices and directives are subject to human evaluation. Responses to these, particularly those related to user or visitor content provision on the Site, are also subject to human oversight, although some automated systems may be employed to manage tickets.

Limitation of Liability
You understand that any issues related to the performance, fault, or failure of third-party services may impact our platform’s functionality, and that NetZylo Inc. is not liable for any loss or damage caused by such third-party services. This includes, but is not limited to:

Interruptions or failures in the processing of transactions via blockchain or payment systems.
Errors, bugs, or inaccuracies that may exist in the software or services provided by third parties.
Delays or failures in services as a result of downtime or other technical issues on third-party platforms.
Acts of God, including but not limited to cyberattacks, hacking, or other security intrusions.

Indemnification
You agree to indemnify, defend, and hold harmless NetZylo Inc., its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, and expenses arising from or related to your use of third-party services incorporated into our platform.

Modifications to Terms
We reserve the right to modify or replace these terms at any time at our sole discretion. All changes are effective immediately upon posting and your continued use of our services following the posting of revised terms constitutes your acceptance of the changes.

Dispute Resolution 
The Parties agree that any claim, action, dispute, controversy or proceeding arising out of or relating to this Agreement or the performance or breach thereof shall be resolved through good faith mediation. Barring resolution through mediation, the Parties agree to submit such dispute to the applicable State or Federal Court in Palm Beach County, Florida and further agree to confer jurisdiction and venue upon said court, unless the Parties mutually agree to submit such dispute to arbitration to be conducted in a manner as agreed to by the Parties.

Governing Law
These Terms of Service and any disputes arising out of or related to these Terms or the services provided by NetZylo Inc. shall be governed by and construed in accordance with the laws of the State of Delaware, irrespective of its conflict of law rules.
